1. Definitions
"Agreement" means these Terms & Conditions together with any service engagement letter or proposal you have accepted.
"We / Us / Our" refers to Quillstone, a data and analytics advisory firm registered and operating in Bangkok, Thailand.
"You / User" refers to any individual or organisation accessing our website or engaging our services.
"Services" refers to the advisory, reporting, and analytical engagements described on our website and in any engagement documentation.
"Content" refers to all text, data, reports, notes, templates, and other materials we produce or make available to you.
2. Acceptance of Terms
By using our website or engaging our services, you confirm that you have read, understood, and agreed to these terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.
Our services are intended for business professionals and organisations. You must be at least 18 years of age and have the legal capacity to enter a binding agreement to use our services.
3. Services
Quillstone provides data and analytics advisory services focused on education, process guidance, and operational support. Our current service offerings include a Data Clarity Session, Reporting Setup Project, and Analytics Advisory Engagement.
Service availability is subject to scheduling and capacity. We reserve the right to decline or defer engagements at our discretion without obligation to explain our reasons.
Our services are delivered in Thailand and primarily intended for organisations operating within or from Thailand, though we may engage with clients in other jurisdictions where appropriate.
4. User Responsibilities
When using our website or engaging our services, you agree to:

- ›Use our website and services only for lawful purposes.
- ›Not attempt to access, copy, or distribute our materials in ways not permitted under this Agreement.
- ›Not interfere with the operation of our website or systems.

5. Intellectual Property
All website content, including text, graphics, and design elements, is owned by or licensed to Quillstone and is protected under applicable intellectual property laws.
Materials produced specifically for your engagement (such as report templates, measurement notes, and written advisory outputs) are delivered to you for internal business use. You may not redistribute, resell, or publish these materials without our prior written consent.
Our underlying methodologies, frameworks, and working processes remain the property of Quillstone.
6. Payment Terms
All prices are quoted and invoiced in Thai Baht (฿) unless otherwise agreed in writing. Our current advisory service pricing is as follows:

Payment is due in accordance with the terms set out in your engagement documentation. For project and monthly engagements, an initial deposit may be required before work commences.
Requests to cancel or reschedule a session within 48 hours of the scheduled time may be subject to a rebooking fee. Refunds for completed project phases are not ordinarily available; we will discuss any disputes on a case-by-case basis.
7. Service-Specific Terms
Data Clarity Session
Sessions are delivered remotely or in person as agreed. Outputs include a question list and a measurement note. The session covers the scope discussed in the pre-booking correspondence and does not constitute ongoing advisory support.
Reporting Setup Project
Project scope, timeline, and deliverables will be agreed in writing prior to commencement. Additional requests outside the agreed scope may require a revised engagement. Deliverables include a report template and a short usage guide.
Analytics Advisory Engagement
Monthly engagements run on a rolling basis. Either party may give 30 days' written notice to conclude the engagement. Regular review sessions and written notes are included. The scope of each month's work is agreed at or before the start of that month.
8. Disclaimers
Our services are provided for general information, operational guidance, and advisory purposes. They do not constitute financial, legal, medical, or regulated professional advice.
We make reasonable efforts to provide accurate, considered, and helpful analysis. However, we make no representation that any particular approach or recommendation will produce a specific business outcome.
Our website and its contents are provided "as is". We do not warrant that the website will be uninterrupted, error-free, or free of viruses.
9. Limitation of Liability
To the extent permitted by Thai law, our total liability to you in connection with any engagement shall not exceed the fees paid by you to us in the three months preceding the relevant claim.
We are not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity, arising from your use of our services or website.
Nothing in these terms limits liability for fraud, wilful misconduct, or any other matter that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold Quillstone, its directors, and team members harmless from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these terms, your use of our services, or any inaccurate information you have provided to us.
11. Termination
Either party may terminate an ongoing engagement by giving 30 days' written notice. We may terminate immediately where a material breach of these terms has occurred or where continuing the engagement would be impractical or contrary to professional standards.
Upon termination, fees for work completed prior to termination remain payable. Provisions relating to intellectual property, confidentiality, disclaimers, and liability survive termination.
12. Dispute Resolution
These terms are governed by the laws of Thailand. Any dispute arising from or relating to these terms or a service engagement shall first be addressed through good-faith discussion between the parties.
If a dispute cannot be resolved informally within 30 days, it shall be subject to the jurisdiction of the Thai courts, with Bangkok courts having exclusive jurisdiction unless otherwise agreed in writing.
13. General Provisions
Entire agreement. These terms, together with any engagement documentation, constitute the full agreement between the parties on the matters covered herein.
Severability. If any provision is found to be unenforceable, the remainder of the terms continues in force.
Waiver. Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Assignment. You may not assign your rights under this Agreement without our prior written consent. We may assign our obligations to a successor entity in the course of a business transfer.

14. Changes to These Terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date. We encourage you to review this page periodically. Continued use of our website or services following a change constitutes your acceptance of the revised terms.
